Terms of Service

1. Acceptance of terms
By accessing or using Tara AI (the “Service”), operated by Tara Retail AI Pvt. Ltd. (“Tara”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
These terms apply to every visitor, user, and entity that accesses the Service, including its websites, dashboards, WhatsApp surfaces, APIs, and AI agents.
2. Eligibility & accounts
To use Tara, you must be at least 18 years old and operating a business legally registered in India. You are responsible for keeping your account credentials, OTPs, and API keys confidential, and for all activity under your account.
You agree to provide accurate business information (including GSTIN where applicable) and to keep it up to date. We may suspend access if information is materially inaccurate or accounts are misused.
3. The service
Tara provides AI-powered retail tooling — including a dashboard, autonomous agents, WhatsApp commerce features, GST e-invoicing, and integrations with third-party platforms. AI agents act on your store data and may take actions on your behalf only as configured and approved by you.
You retain full control: every material action surfaced by an agent is logged and, by default, requires your approval before execution.
4. Acceptable use
You agree not to: (a) misuse the Service to send unsolicited messages or spam in violation of WhatsApp Business policies, TRAI regulations, or applicable consumer protection law; (b) reverse engineer, scrape, or interfere with the Service; (c) upload content that is illegal, infringing, or that you do not have rights to use; (d) use the Service to facilitate fraud, money laundering, or evasion of taxes.
We may suspend or terminate accounts that violate these rules, with or without notice, depending on the severity.
5. Fees, billing & taxes
Paid plans renew automatically until cancelled. Fees are exclusive of applicable taxes (including GST), which will be added at the rate prevailing at the time of invoice. Free trials convert to paid plans at the end of the trial unless cancelled before the trial ends.
Refunds are issued at our discretion and only where required by applicable law. WhatsApp message charges, payment gateway fees, and shipping costs are passed through at cost from the relevant providers.
6. Customer data & content
You retain all rights to data you upload or generate through the Service (orders, catalogue, customers, messages — “Customer Data”). You grant Tara a limited licence to host, process, and transmit Customer Data solely to operate, secure, and improve the Service for you.
We will not sell your Customer Data, and we will not use customer messages or business data to train foundation models for third parties.
7. Third-party services
Tara integrates with third-party providers — WhatsApp Business Platform (Meta), payment gateways, courier networks, GST suspension portals, accounting tools, and more. Your use of those services is subject to their own terms and policies.
We are not responsible for outages, data loss, or charges incurred by third-party providers, but we work in good faith to mitigate the impact on your store.
8. AI output
AI-generated content (campaign copy, recommendations, summaries) is provided “as is”. It may contain inaccuracies. You are responsible for reviewing AI suggestions before acting on them, especially for legal, financial, or tax-sensitive workflows such as GST invoicing and pricing.
9. Confidentiality
Both parties agree to keep confidential information disclosed in connection with the Service confidential and to use it only to perform under these Terms.
10. Suspension & termination
You may cancel your subscription at any time from the dashboard. We may suspend or terminate accounts for non-payment, breach of these Terms, or risk to the Service or other users.
On termination, you may export your data for 30 days, after which we may delete it from production systems in accordance with our Privacy Policy and retention schedules.
11. Disclaimers
The Service is provided on an “as available” basis. To the maximum extent permitted by law, Tara disclaims all warranties — express, implied, statutory — including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, Tara’s aggregate liability under these Terms is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data.
13. Indemnity
You agree to indemnify Tara against claims arising from (a) your use of the Service in violation of these Terms or applicable law, (b) Customer Data you upload, or (c) communications you send to your buyers via the Service.
14. Governing law & disputes
These Terms are governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
15. Changes
We may update these Terms from time to time. Material changes will be notified at least 14 days in advance via the dashboard or email. Continued use after the effective date constitutes acceptance.
